Types of non-profit organizations – the choice of governance model

Although the literature in this area is intensive, there are essentially three different types of boards or governance models. they are:

Operational [or administrative] committee

2. Policy Governance [or Carver] Board of Directors

3. Policy Committee

Operation committee from

 Applicable to:

  • The organization is a grassroots organization with few or no employees.
  • The organization is experiencing a major crisis and the board must be involved in managing the organization until it is stable.
  • The organization is newly established and is not yet ready or able to hire people to operate services or programs.

Non-profit organizations are becoming more complex, making the operations committee less common. The result [and unfortunately] is very little information on how to be a valid board of this type. It is generally considered that the business committee will be transitional – this means that once the foundation work of the new organization is completed, it will become a policy committee. In fact, many smaller non-profit organizations have opted to have operating committees for many years. Policy governance or Carver board from

 Usually used by large organizations that provide advanced professional services and programs. This type of board:

  • At least three types of board operations are involved.
  • The point is to create a final statement [the result or result to be achieved], not about the means or how or what will be done to achieve the result.
  • Focus on creating and monitoring requirements and limiting executive policies to do or not to do certain things. Given these limitations, executive directors and employees can manage the organization as they see fit and necessary.

This model is designed to simplify the roles and relationships of board staff. In practice, most boards and senior executives find the models implemented at an early stage complex. Some organizations that use it take the "Carver model" into account, while other organizations have modified the strict expectations of the model and found it to be more effective for them. Still others try to adopt a policy governance approach and give it up. Interestingly, if this model is to be effective, then both the board and the senior manager seem to need some complexity and persistence.

Policy committee from

 It is the most common governance model in today's non-profit organizations. Policy Committee:

  • The representative [in writing] is responsible for the day-to-day management and operations of the organization.
  • Create, review, and approve governance policies [how the board will conduct its own work and board operations] and framework policies such as vision, mission, goals, and core values.
  • Define how executive directors are responsible for the use of financial resources, plans/service outputs, and human resource practices.
  • Support executive directors and assess his/her performance annually.
  • Ensure that the organization has the financial resources it needs to perform its mission and tasks.

For your board of directors, it is important to declare yourself [through the board of directors] one of three types of boards. The activities of the board of directors, directors and directors.
